JOB DETAILS:
THE MANDATE AND ROLES OF THE BOARD

The MKCB Board of Directors has a dual mandate of Advisory and oversight governed by their fiduciary and Legal responsibilities. In fulfilling this mandate the directors Are expected to:

• Review and adopt strategic plan:
  
• Oversee succession planning for management:
  
• Ensure internal controls and mitigation measures Are in place;
  
• Review adequacy and integrity of Management Information System;
  
• Oversee implementation of policies and prudential Guidelines;
  
• Ensure existence of robust regulatory and Compliance framework;
  
• Ensure MkCB’s financial and non-financial Performance is healthy, sound and adequately Monitored at all Times: and
  
• Oversee stakeholders communication and Engagement

INDIVIDUAL DIRECTIONS DUTIES AND RESPONSIBILITIES

• Attend Committee and Board Meetings as per The Board calendar
  
• Participate in The development of MKCB‘s strategy. Policies and regulations;
  
• monitor that senior managements actions are Consistent with the bank’s strategy and policies;
  
• Review annual plans and budgets & conduct Quarterly review against plans;
  
• Ensure compliance on all legal and regulatory Issues;
  
• Challenge and validate strategy generated by Management
  
• Challenge and approve large Potential.
  
• Challenge and validate strategy generated by Management;
  
• Challenge and approve, particularly large Expenditures according to authorized limits;
  
• Ensure timely and accurate reporting to Stake holders:
  
• Save MkCB's best interests by caring, applying skills And acing diligently and
  
• Provide advice and guidance la management as Needed.

GENERAL QUALITIES

• Knowledge of business appealing environment and Regulations especially of banking industry

SPECIFIC REQUIREMENTS

• Hands on experience in accounting and financial Management with a professional qualification CPA (T). ACCA
  
• Strong banking experience with more Than IO years In senior management position
  
• Professional qualificafion in ICT field and strong Experience in implementation and monitoring IT Related projects including system integrity auditing And oversight
