About This Job:
Q-Sourcing Limited, trading as Q-Sourcing Servtec, is a manpower management solutions firm operating in the East African Region in the countries of Tanzania, Uganda, Kenya, Rwanda and South Sudan.
On behalf of one of our Tanzania based clients, we are looking for a competent and experienced EMEA Legal Counsel
Reporting directly to the Chief Legal Officer based in the US. The successful candidate will perform the following responsibilities:

Duties and Responsibilities:
Regional legal lead:
• Pilot the regional group legal strategy within EMEA.
• Align regional commercial objectives with corporate legal policies.
• Understand and apply African mining codes and monitor for changes in law and regulations.
• Demonstrate leadership and proactive thinking on both commercial and legal matters to support and advise EMEA regional management on strategic issues.
• Ensure that Chief Legal Officer and other global management are kept appraised of important regional issues

Commercial:
• Drive synergies across the organization by defining best contractual practices and deliver training to targeted audiences on contract management.
• Draft and negotiate wide variety of commercial agreements to support BLY’s core business activities and help commercial teams implement corporate contractual guidelines.
• Implement post audit remediation plans with targeted department to ensure consistency and contract compliance, particularly for sensitive vendors across the region (custom broker, freight forwarder).

Corporate:
• Assist with management of regional entity portfolio for annual compliance requirements (financial approvals, shareholders resolutions and local filings).
• Act as corporate secretary for regional entities as needed.
• Provide assistance to the Tax and Finance departments for the preparation of supporting documentation related to intercompany transactions.
• Provide practical advice related to risk analysis and mitigation associated with statutory and commercial obligations.
• Support new country implementation and compliance risk management and exits of countries if required.

Litigation:
• Manage a litigation portfolio across multiple jurisdictions.
• Define litigation tactics and best procedures to implement in various countries.
• Effectively manage outside counsel network and strive to reduce costs.

Compliance:
• Promote and enforce ethical behavior in accordance with BLY’s Code of Conduct as well as compliance with laws and regulations in countries/region in which BLY operates.
• Advise on matters including bribery and facilitation payment risks, trade and export compliance, money laundering and data privacy (GDPR).
• Manage internal investigations and oversee/implement corrective actions in coordination with other functional and operating personnel.

Qualifications, Experience, Knowledge & Skill
• A minimum of 10 years post-qualification experience in private practice in a leading law firm and/or as in-house counsel role, in a multinational environment
• Outstanding communication and legal writing skills
• Fluent in English and French
• Admission an EMEA country bar o or analogous professional regulator
• Experience in mining or other natural resources industries
• Strong legal background in both common law and civil law systems
• Thorough understanding of the legal and commercial landscape in European and African markets
• Strong contractual drafting and negotiation expertise
• Logical and quick thinker, with a clear and concise communication style
• Demonstrated success at developing and executing commercial strategies and legal strategies
• Proven ability to propose operational solutions to the business in accordance with the corporate strategy
• History of delivering the highest level of integrity and inspiring trust among peers, subordinates and other colleagues
• Ability to function autonomously
• Ability to communicate with management and staff throughout the organization
• Demonstrate outstanding project management skill
