Faru Graphite Corporation Limited (FGCL) is a joint venture company formed via the Framework Agreement signed on 13^th December 2021 between Mahenge Resources Limited (MRL), owning 84% and the Government of Tanzania (GoT), owning 16% Free Carried Interest for the development of the Graphite deposits in Morogoro Region. Under the Framework Agreement terms, FGCL has been formally established to develop the Mahenge Graphite Mining Project.

FGCL invites experienced and reputable service providers with demonstrable capability and willingness to perform the related works to express their interest in providing Biodiversity Offset Plan Development and Implementation Services as defined in the Scope of Work.

BRIEF DESCRIPTION OF THE SCOPE OF WORK

The Biodiversity Offset Plan Development and Implementation Services Scope of Works for the Mahenge Graphite Project (MGP) includes the following requirements:

Development and implementation of the Mahenge Graphite Project, and its associated infrastructure, Biodiversity Offset Plan, as per the approved Biodiversity Action Plan and Strategy. This scope of work will require development of detailed Offset Plan with programs of work that achieve measurable conservation outcomes for natural and critical habitats including no net loss (NNL) and overall net gain (ONG) consistent with International Finance Corporation Standard (PS6)

Required Documentation

1. COMMERCIAL

• Full Company Profile.
• Company Code of Conduct and Ethics.
• All mandatory and statutory documentation, sectoral permits if any
• Certified Copy of current detailed BRELA standard search.
• Compliance with The Mining (Local Content) Regulations, 2018 by having the approved Local Content Plan

2. EXPERIENCE and CAPABILITY

• Detailed experience in undertaking similar activities is a requirement

3. FINANCIAL POSITION AND TERMS OF TRADE

• Financial capacity to complete the required services, including three years Audited Financial Statements (2021-2023).

4. SAFETY AND STANDARDS

• Certified OSHA Compliance Certificate.
• Proof of health and safety compliance including practice of leading international standards.
